1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and GeoApex ("Company," "we," "us," or "our") concerning your access to and use of the GeoApex Engine platform, including our website, application, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Definitions

• "Account" means your registered account on the Service.
• "Content" means text, images, photos, audio, video, location data, and all other forms of data or communication.
• "Microsite" means programmatically generated landing pages created through the Service.
• "Subscription" means your paid subscription plan (Growth, Scale, or Enterprise).
• "User Content" means Content that you submit, upload, or transmit through the Service.

3. Account Registration

3.1 Eligibility. You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.

3.2 Account Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.4 One Account Per User. You may only create one account. Creating multiple accounts may result in termination of all accounts.

4. Service Description

4.1 Platform Overview. GeoApex Engine is an AI-powered programmatic SEO (pSEO) platform that generates location-based landing pages for lead generation purposes.

4.2 Service Features. The Service includes microsite generation, AI content creation, lead capture forms, analytics, SEO optimization, and related features as described on our website.

4.3 Service Modifications. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

5. Subscription Plans and Billing

5.1 Subscription Tiers. We offer multiple subscription tiers (Growth, Scale, Enterprise) with varying features, page limits, and pricing as described on our pricing page.

5.2 Billing Cycle. Subscriptions are billed monthly or annually in advance, depending on your selected plan. Annual plans offer a discount compared to monthly billing.

5.3 Payment Processing. We use Stripe for secure payment processing. By providing payment information, you authorize us to charge the applicable fees to your payment method.

5.4 Auto-Renewal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

5.5 Failed Payments. If we cannot process your payment, we will attempt to contact you. If payment is not received within 7 days, your account may be suspended or terminated.

5.6 Price Changes. We may change subscription prices at any time. Price changes will be communicated at least 30 days in advance and will apply to your next billing cycle.

6. Refunds and Cancellations

6.1 Money-Back Guarantee. We offer a 30-day money-back guarantee for first-time subscribers. If you are not satisfied with the Service within the first 30 days, contact us for a full refund.

6.2 Cancellation Process. You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of your current billing period.

6.3 No Refunds After 30 Days. Except for the initial 30-day guarantee, subscription fees are non-refundable. You will retain access to the Service until the end of your paid period.

6.4 Annual Plans. Annual subscriptions are refunded on a pro-rata basis within the first 30 days only. After 30 days, annual subscriptions are non-refundable.

7. User Content and Conduct

7.1 Your Content. You retain ownership of all User Content you submit to the Service. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your Content solely to provide the Service.

7.2 Content Responsibility. You are solely responsible for your User Content. You represent that you have all necessary rights to submit your Content and that it does not violate any laws or third-party rights.

7.3 Prohibited Content. You may not submit Content that:

8. Intellectual Property

8.1 Company Property. The Service, including all software, designs, text, graphics, and other content (excluding User Content), is owned by GeoApex and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms.

8.3 AI-Generated Content. Content generated by our AI systems is provided to you for use in your microsites. You may use, modify, and publish AI-generated content within your subscription limits.

8.4 Restrictions. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract source code.

9. API Usage and Rate Limits

9.1 API Access. Certain subscription tiers may include API access. API usage is subject to rate limits and fair use policies.

9.2 Rate Limits. We reserve the right to impose rate limits to ensure platform stability. Excessive API usage may result in throttling or temporary suspension.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

11. Disclaimers and Warranties

11.1 "AS IS" Service. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Results. We do not guarantee any specific results, including lead generation, SEO rankings, traffic, or revenue. Results depend on many factors beyond our control.

11.3 Service Availability. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We may experience downtime for maintenance or technical issues.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOAPEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless GeoApex and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

14. Termination

14.1 Termination by You. You may terminate your account at any time by canceling your subscription through your account settings.

14.2 Termination by Us. We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

14.3 Effect of Termination. Upon termination, your right to use the Service will cease immediately. We may delete your account and Content after 30 days unless required to retain it by law.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution. Before filing a claim, you agree to contact us at legal@geoapex.io to resolve the dispute informally. We will attempt to resolve disputes in good faith.

15.2 Binding Arbitration. If informal resolution fails, any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association.

15.3 Class Action Waiver. You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

16. General Provisions

16.1 Governing Law. These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

16.2 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and GeoApex regarding the Service.

16.3 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Changes to Terms. We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
